By accessing and using the Vendably platform ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all users of the Service, including merchants, administrators, and any other person who accesses or uses the Service.

2. Description of Service

Vendably provides a product feed management platform that enables merchants to:

  • Import product data from various e-commerce platforms and data sources
  • Transform and optimise product information using configurable rules
  • Distribute product feeds to marketing channels and advertising platforms
  • Monitor feed health and performance analytics

3. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload or distribute malicious software or content
  • Attempt to gain unauthorised access to the Service or its systems
  • Engage in any activity that disrupts or interferes with the Service
  • Use the Service for any fraudulent or deceptive purposes

5. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions are billed in advance on a monthly or annual basis.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You retain ownership of all product data you upload to the Service. We will not sell, share, or use your product data for any purpose other than providing the Service to you.

7. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by Vendably and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Vendably shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, upgrades, or other operational reasons. We will endeavour to provide advance notice of planned downtime.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we determine to be harmful to the Service, other users, or third parties.

Upon termination, your right to use the Service will cease immediately. You may request a copy of your data within 30 days of termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or sending an email to your registered address. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
